Article 4

Directive (EU) 2025/25 of the European Parliament and of the Council of 19 December 2024 amending Directives 2009/102/EC and (EU) 2017/1132 as regards further expanding and upgrading the use of digital tools and processes in company law (Text with EEA relevance) · European Union

1. Member States shall adopt and publish, by 31 July 2027, the laws, regulations and administrative provisions necessary to comply with this Directive. They shall immediately inform the Commission thereof. 2. Member States shall apply the measures referred to in paragraph 1 from 31 July 2028. 3. Notwithstanding paragraphs 1 and 2 of this Article, Member States shall bring into force the laws, regulations and administrative provisions necessary to comply with Article 19(2), point (i), of Directive (EU) 2017/1132 and Article 19b of that Directive by 1 August 2028 and apply those provisions from 1 August 2029. 4. When Member States adopt the measures referred to in paragraph 1, they shall contain a reference to this Directive or shall be accompanied by such a reference on the occasion of their official publication. The methods of making such reference shall be laid down by Member States. 5. Member States shall communicate to the Commission the text of the main provisions of national law which they adopt in the field covered by this Directive.
