Section 226A(2)

Subsection (3) applies where, in connection with a relevant transfer, a director of a quoted company ... is— to cease to hold office as director, or to cease to be the holder of— any other office or employment in connection with the management of the affairs of the company, or any office (as director or otherwise) or employment in connection with the management of the affairs of any subsidiary undertaking of the company.
